Be Among The Founding 100.

These Terms of Participation ("Terms") govern your access to and participation in the Contease Founding 100 Brand Program ("Program") operated by ContentAI Hub LTD ("Contease", "we", "us", or "our"). By submitting an application and, if accepted, by joining the Program, you ("Brand", "you", or "your") agree to be bound by these Terms in full.

These Terms form a binding agreement between you and Contease. Please read them carefully before submitting your application.

To be eligible for the Founding 100 Program, your brand must:

• Have an active presence on at least one social media platform with consistent, published content;
• Offer a live product or service currently available for purchase;
• Operate within an eligible consumer category: Fashion & Apparel, Beauty & Cosmetics, Consumer Electronics, Food & Groceries, Drinks & Beverages, Home & Decor, Health & Wellness, Kitchen & Homeware, Jewelry & Accessories, or Bedding & Linens;
• Have a clear brand identity and visual presence;
• Be willing and able to commit to the content publication obligation set out in Section 5.

Contease reserves the right to assess eligibility at its sole discretion. Submission of an application does not guarantee acceptance into the Program.

Accepted Founding 100 Brands will receive the following benefits, subject to these Terms and continued compliance:

• Early Platform Access — Priority access to the Contease platform prior to its public launch;
• Featured Discovery Placement — Elevated placement on the Contease discovery feed for a period of six (6) months from the date of platform launch;
• Founding Brand Badge — A permanent "Founding Brand" designation displayed on your Contease brand profile;
• Subscription Discount — A 70% reduction on the standard subscription price for the first twelve (12) months following platform launch;
• Direct Founder Access — Inclusion in a private communication channel with direct access to Contease's founding team;
• Founding Brand Spotlight — A dedicated feature post on Contease's official channels during the launch month;
• Priority Support — Elevated support tier for the duration of active Program participation;
• Product Roadmap Input — Quarterly participation rights in Contease's feature voting and product roadmap process.

Benefits are non-transferable and may not be assigned to any third party. Contease reserves the right to modify, substitute, or discontinue specific benefits with reasonable notice, provided the overall material value of the Program is not substantially diminished.

Applications are reviewed personally by the Contease team. We aim to respond within forty-eight (48) hours of submission. Acceptance is at Contease's sole discretion and is based on both eligibility criteria and overall fit with the Program's objectives.

Upon acceptance, you will receive a confirmation communication with details on onboarding steps and platform access timelines. Your participation formally commences upon receipt of that confirmation.

As a condition of participation, Founding Brands commit to creating and publishing at least one (1) piece of AI-powered content on the Contease platform within thirty (30) days of the platform's public launch date.

Failure to meet this commitment will be assessed by Contease on a case-by-case basis. Contease may, at its sole discretion, issue a reminder, extend the publication deadline, or review the Brand's continued participation in the Program, taking into account the reasons for non-compliance and the Brand's overall engagement.

No automatic penalty will be applied without prior communication from the Contease team.

Participating brands agree to conduct themselves in a manner consistent with Contease's platform standards and community guidelines. You must not:

• Publish content that is misleading, unlawful, defamatory, or in violation of any applicable law or regulation;
• Use your Founding Brand status in a manner that misrepresents your relationship with Contease;
• Engage in any activity that damages the reputation, integrity, or commercial interests of Contease;
• Attempt to circumvent, reverse-engineer, or misuse any feature of the Contease platform.

Contease reserves the right to remove a brand from the Program immediately and without compensation if conduct in breach of this section is identified.

You retain full ownership of all content, trademarks, and creative assets you submit or publish on the Contease platform. By participating in the Program and publishing content, you grant Contease a non-exclusive, royalty-free, worldwide licence to display, promote, and share your content within the Contease platform and its official marketing channels for the purpose of promoting the platform and the Founding 100 Program.

Contease retains all rights to its platform, technology, branding, and the "Founding Brand" designation. Use of Contease's name, logo, or trademarks outside the platform requires prior written consent.

As a Founding Brand, you may have access to non-public information about Contease's platform features, roadmap, launch plans, or business strategy ("Confidential Information"). You agree not to disclose, reproduce, or use any such Confidential Information for any purpose other than your participation in the Program, without prior written consent from Contease.

This obligation survives termination or expiration of your participation in the Program.

Contease provides Program benefits on a best-efforts basis. To the fullest extent permitted by applicable law, Contease shall not be liable for any indirect, incidental, consequential, or special damages arising from your participation in the Program, including but not limited to loss of revenue, loss of data, or loss of business opportunity.

Contease's total aggregate liability to any Founding Brand under or in connection with these Terms shall not exceed the amount paid by that Brand to Contease in the three (3) months immediately preceding the event giving rise to the claim.

These Terms remain in effect for the duration of your active participation in the Founding 100 Program. Either party may terminate participation by providing written notice to the other. In the event of termination:

• Access to Program-specific benefits (discounted pricing, featured placement, priority support) will cease at the end of the current billing period;
• The Founding Brand Badge will be removed from your profile;
• Any content published prior to termination may remain on the platform subject to Contease's standard content policies.

Contease may terminate a Brand's participation immediately and without notice in the event of a material breach of these Terms or conduct that Contease reasonably considers harmful to the platform or its users.

Contease may update these Terms from time to time. Where changes are material, we will provide Founding Brands with at least fourteen (14) days' written notice before the changes take effect. Your continued participation following the notice period constitutes acceptance of the revised Terms.

These Terms are governed by and construed in accordance with the laws of the Federal Republic of Nigeria. Any dispute arising from or in connection with these Terms shall first be subject to good-faith negotiation between the parties. If unresolved within thirty (30) days, disputes shall be referred to binding arbitration in Nigeria in accordance with the Arbitration and Conciliation Act (as amended).
